Terms & Conditions
These Terms and Conditions apply to all website design, website development, SEO, website care, digital marketing, Google Ads management, consultation, and related services provided by WebDesignbyKim.com / KimWebDesign.com.
By approving a proposal, paying an invoice, submitting a payment, subscribing to a monthly service, or requesting work to begin, the client agrees to the terms below.
Web Design by Kim provides website design, website development, WordPress services, SEO services, website care, digital marketing support, Google Ads management, content updates, and related digital services.
The exact scope of work will be listed in the approved project proposal, invoice, task list, email agreement, or written project summary. Services may include consultation, planning, custom design, development, website edits, SEO setup, content updates, technical improvements, monthly reporting, and delivery of completed work.

The project scope will be based on the services, pages, features, revisions, deliverables, timeline, and pricing agreed upon before work begins.
Any work not specifically included in the approved proposal or task list will be considered additional work. Additional work may include, but is not limited to:
Additional work will be billed at the current hourly rate or quoted separately before work continues.
The client agrees to provide all necessary access, content, images, logos, login details, account permissions, approvals, feedback, and information needed to complete the project.
Client delays in providing required materials, feedback, approvals, or access may delay the project timeline. Web Design by Kim is not responsible for delays caused by missing information, late approvals, third party platforms, hosting issues, domain issues, plugin issues, or services outside our control.
The client is responsible for ensuring that any content, images, videos, branding, trademarks, or materials provided to Web Design by Kim are owned by the client or legally approved for use.
The client agrees to pay the amount listed in the approved proposal, invoice, subscription, or written agreement.
Unless otherwise stated in writing, payment is due in full before work begins. For larger projects or special arrangements, a deposit or milestone payment schedule may be agreed upon in writing.
Work will not begin until the required payment has been received.
Monthly services, including SEO, website care, hosting support, maintenance, and digital marketing services, are billed on a recurring basis according to the selected plan.
Late payments, failed payments, or unpaid balances may result in paused work, delayed delivery, suspension of services, or cancellation of active services.
The client may request reasonable revisions during the design and development process. Revisions must relate to the original agreed scope of work.
Minor edits and revisions included in the proposal will be completed as part of the project. Major changes, new layouts, additional pages, new features, or requests outside the original scope will be billed separately.
Once the website or project has been approved, launched, delivered, or marked complete, any additional changes will be billed at the current hourly rate or quoted separately.
Project timelines are estimates and may vary depending on the project scope, client response time, content availability, revisions, third party platform delays, hosting access, domain access, plugin issues, or other factors outside our control.
Web Design by Kim will make reasonable efforts to complete the project within the estimated timeline, but does not guarantee a specific completion date unless agreed upon in writing.
Once a website design, development, SEO, marketing, or service project has started, payments are non-refundable except where required by law.
This is because time, planning, design work, development work, consultation, research, setup, tools, resources, and administrative work may begin immediately after payment is received.
If the client cancels a project after work has started, all payments made will be considered final. Any unpaid balance for completed work, reserved time, or approved work may still be due.
For recurring monthly services, payment covers the current billing period.
Once payment for the current month has been processed, no refunds will be issued for that billing period except where required by law. This applies to SEO, website care, website maintenance, digital marketing, content services, reporting, Google Ads management, and other monthly services.
To cancel a recurring service, the client must provide written notice at least 7 days before the next billing date. Cancellations received after this period may take effect during the following billing cycle.
Monthly services do not roll over unless specifically stated in writing. Unused time, posts, reports, edits, or deliverables from a monthly plan may expire at the end of the billing period.
SEO services may include keyword research, on page optimization, technical SEO, content recommendations, local SEO, Google Business Profile support, citations, reporting, blog content, internal linking, and related optimization work, depending on the selected plan.
SEO results depend on many factors, including competition, search engine updates, website history, content quality, backlinks, location, user behavior, technical performance, and market demand.
Web Design by Kim does not guarantee specific rankings, traffic levels, leads, sales, revenue, or search engine results.
SEO work is intended to improve website quality, search visibility, local relevance, content structure, and long term organic performance.
Google Ads management may include campaign review, campaign setup, campaign optimization, keyword review, keyword match type adjustments, negative keyword updates, ad copy review, budget recommendations, search term review, conversion tracking review, and performance reporting.
Google Ads media spend is paid directly by the client to Google unless otherwise agreed in writing.
Web Design by Kim does not guarantee specific ad results, leads, conversions, cost per lead, revenue, or sales. Google Ads performance depends on competition, budget, landing pages, tracking setup, keyword intent, location targeting, bidding, market demand, and Google Ads system behavior.
The client is responsible for maintaining ownership and payment of any domain names, hosting accounts, email accounts, premium plugins, themes, licenses, third party tools, software subscriptions, payment processors, booking tools, CRM systems, or integrations unless otherwise stated in writing.
Web Design by Kim is not responsible for outages, downtime, errors, billing issues, account restrictions, plugin changes, platform updates, policy changes, or service interruptions caused by third party providers.
If third party troubleshooting is required, it may be billed separately.
Website care or maintenance services may include updates, backups, minor edits, security monitoring, uptime checks, plugin updates, theme updates, WordPress updates, and basic troubleshooting, depending on the selected plan.
No website can be guaranteed to be completely secure, error free, or immune from malware, hacking, plugin conflicts, hosting issues, platform changes, or third party vulnerabilities.
Web Design by Kim will make reasonable efforts to maintain and support the website according to the selected plan.
The client is responsible for reviewing all website content, business information, pricing, claims, service descriptions, contact information, legal notices, privacy policies, terms, disclaimers, and other published materials for accuracy.
Web Design by Kim is not responsible for errors, outdated information, inaccurate claims, missing legal disclosures, or compliance issues in content provided or approved by the client.
Upon full payment, the client will own the final website design and final deliverables created specifically for the client, excluding third party tools, stock assets, software, plugins, themes, licenses, and pre-existing materials.
Web Design by Kim retains ownership of pre-existing processes, tools, design methods, code libraries, templates, workflows, strategies, and internal systems used to complete the project.
The client receives the right to use the completed website and approved deliverables for their business after full payment has been received.
Web Design by Kim retains the right to display completed work in its portfolio, marketing materials, case studies, social media, and website unless the client requests otherwise in writing.
Web Design by Kim will not knowingly disclose confidential client information to third parties without written consent, except when required to complete the work, comply with the law, resolve technical issues, or work with approved service providers.
Confidential information may include login credentials, business information, project details, customer information, marketing strategy, pricing, internal documents, and other non-public information shared during the project.
To the fullest extent permitted by law, Web Design by Kim will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, loss of business, website downtime, advertising losses, search ranking changes, or third party service failures.
Web Design by Kim’s total liability for any claim related to a project or service will not exceed the amount paid by the client for the specific service giving rise to the claim.
The client agrees to indemnify and hold Web Design by Kim harmless from claims, damages, losses, liabilities, costs, and expenses arising from:
Content provided by the client
Copyright or trademark issues related to client materials
Client misuse of the website or services
Client violation of laws or regulations
Third party claims related to client products or services
Unauthorized use of images, copy, branding, or media provided by the client
Client changes made after delivery
Web Design by Kim may pause or terminate services if the client fails to pay, fails to provide required access or materials, requests illegal or unethical work, breaches these Terms and Conditions, or engages in abusive, threatening, or inappropriate communication.
If services are terminated, the client remains responsible for any unpaid work, approved work, completed work, or active billing obligations.
Most project communication will be handled by email, messaging, video call, project management tools, or other approved communication channels.
Client approval by email, message, payment, form submission, or written confirmation may be treated as approval to proceed.
If the client does not respond within a reasonable time, the project timeline may be delayed or paused.
Web Design by Kim may update these Terms and Conditions from time to time. Updated terms will be posted on the website with a revised effective date.
Continued use of services after updates are posted means the client accepts the updated terms.
These Terms and Conditions will be governed by the laws of the applicable jurisdiction where Web Design by Kim operates, unless otherwise stated in a signed written agreement.
Any disputes should first be addressed through good faith communication before pursuing formal legal action.
